Welcome to Personnelly. These Terms of Service (“Terms”) govern your access to and use of the website, services, and related products offered through www.personnelly.com (“the Website”). By accessing or using Personnelly, you agree to be bound by these Terms. If you do not agree, you must not use the Website or any of its services.

  1. Acceptance of the Terms

Your access to and use of the Website is subject to these Terms. Personnelly reserves the right to modify or update these Terms at any time. The most current version will always be available on the Website. Continued use of the Website after changes are published constitutes acceptance of the updated Terms.

  1. Platform Role and Disclaimer of Liability

2.1 Platform-Only Service

Personnelly is a neutral, technology-based platform that provides access to a network of independent companies. The platform enables companies to discover, communicate with, and connect to other companies.

Personnelly does not employ, supply, manage, supervise, or pay workers, and does not act as an employment agency, recruitment agency, or employer. All employment relationships, secondments, staffing arrangements, or collaborations exist solely between the companies involved.

Personnelly is not a party to any agreement, contract, or employment relationship that may arise between users.

2.2 No Responsibility for Agreements or Outcomes

Personnelly has no control over, and accepts no responsibility for: • the content of listings or messages • the conduct of users • the terms, performance, or outcome of any agreement • compliance with employment, tax, insurance, or labor laws

All negotiations, agreements, and obligations are handled directly between companies.

2.3 Limitation of Liability

Use of the Website is at your own risk. To the maximum extent permitted by law, Personnelly shall not be liable for any direct, indirect, incidental, consequential, or special damages, including loss of profits, data, business opportunities, reputation, or revenue, arising from or related to the use of the platform.

2.4 User-Generated Content

All content on Personnelly, including profiles, listings, and messages, is user-generated. Personnelly does not verify, endorse, or guarantee the accuracy, legality, or suitability of such content and accepts no responsibility for it.

2.5 Content Review, Protection, and Enforcement

Personnelly reserves the right to review, modify, restrict, or remove content that: • contains direct contact details intended to bypass the platform • violates these Terms or applicable laws • threatens platform integrity or user safety

These measures are intended to protect users and maintain a secure and fair platform. Where appropriate, users may be notified of such actions.

Personnelly may suspend or terminate accounts at its discretion. No refunds will be issued in case of suspension or termination.

2.6 Verification of Credentials and Regulatory Compliance

Personnelly acts exclusively as a passive introductory platform. We do not verify, audit, or monitor the credentials, qualifications, identity, right-to-work status, or compliance history of any company or individual staff member listed on the platform.

It is the sole and absolute responsibility of the Borrowing Company (the company receiving staff) and the Lending Company (the company supplying staff) to ensure strict compliance with all applicable laws, regulations, and safety standards within their respective industries.

A. Healthcare & Care Sector For exchanges within the healthcare and care sectors, users must independently verify that all staff and practices comply with the regulations of relevant oversight bodies (such as the Care Quality Commission (CQC) in the UK, or equivalent bodies in other jurisdictions). specifically, the companies involved must ensure:

Criminal Record Checks: That valid and up-to-date background checks (e.g., DBS Checks in the UK) are in place for all staff.

Qualifications: That staff possess the necessary medical or professional qualifications, registrations (e.g., NMC, GMC), and mandatory training certifications.

Safeguarding: That all safeguarding protocols are followed strictly.

B. Logistics & Transport For logistics and transport exchanges, the companies are solely responsible for independently verifying:

Licensing: That drivers possess valid and appropriate driving licenses and professional competence cards (e.g., Driver CPC).

Insurance: That appropriate commercial vehicle insurance is in place to cover the seconded driver and the vehicle.

PERSONNELLY EXPRESSLY DISCLAIMS ANY LIABILITY FOR CLAIMS, PENALTIES, ACCIDENTS, OR DAMAGES ARISING FROM A FAILURE BY USERS TO CONDUCT THESE VERIFICATIONS OR COMPLY WITH INDUSTRY REGULATIONS.

  1. Access, Pricing, and Fair Use Policy

3.1 Access-Based Membership (Essential Plan)

Access to Personnelly is provided through a paid membership (“Essential access”). The membership grants access to platform features, including posting, browsing, and initiating conversations.

Prices may vary over time based on availability and growth of the platform. Your membership price remains valid for as long as your subscription remains active.

Memberships are billed monthly and can be canceled at any time.

3.2 Fair Use Policy — Chat Initiation

To ensure fair and sustainable use of the platform, Personnelly applies a Fair Use Policy to chat initiation.

Each membership includes: • up to 5 new chat conversations per calendar month

If this limit is exceeded: • additional chat conversations may be started for $1 USD per additional chat

This policy applies only to the initiation of new conversations. All messages within an existing conversation are included.

Personnelly reserves the right to monitor usage and take action in cases of abuse, spam, automation, or excessive behavior.

3.3 Payments and Refunds

All payments are non-refundable. Canceled memberships remain active until the end of the current billing period. No refunds or credits are issued for unused access, unused chats, or terminated accounts.

All prices are shown in USD and may be automatically converted to local currency at checkout.

  1. Acceptable Use of the Platform

By using Personnelly, you agree not to: • violate applicable laws or regulations • post misleading, unlawful, offensive, or discriminatory content • use the platform as a recruitment agency or staffing intermediary • engage in spam, scraping, or attempts to bypass platform safeguards

Personnelly may enforce additional House Rules, which form part of these Terms.

  1. Relationship Between Parties

Personnelly does not create any employment, agency, partnership, or joint venture relationship between itself and any user.

Personnelly is not an employer, not a staffing provider, and not a contracting party in any agreement formed between users.

All legal, financial, and operational responsibilities remain with the companies involved.

  1. Modifications to the Terms

Personnelly may amend these Terms at any time. Updated Terms become effective immediately upon publication. Continued use of the platform constitutes acceptance.

  1. Governing Law and Jurisdiction

These Terms are governed by the laws of the Netherlands. Any disputes shall be submitted exclusively to the competent courts of the Netherlands.
